General Terms and Conditions of MicroConsult Academy GmbH

MicroConsult Academy GmbH – hereinafter referred to as MicroConsult Academy – provides various services.

These terms and conditions apply to the open seminars offered online at www.microconsult.de or. www.microconsult.com Prices and delivery dates are offered unless the order confirmation or a written agreement with the client/customer specifies otherwise.

Any differing terms and conditions of the client/customer shall not apply – even if they are not expressly rejected.

All offers from MicroConsult Academy are aimed exclusively at entrepreneurs within the meaning of § 14 BGB.

Offer and conclusion of contract

Offers from MicroConsult Academy are non-binding. Contracts are therefore only concluded when MicroConsult Academy confirms the order in writing or provides the service.

Any additions, modifications to the offer and any side agreements made at the time of contract conclusion must be in writing to be effective.

Information, reservation, and booking of open seminars

Information regarding seminar availability and registration can be obtained from the service office:

Non-binding reservations are possible at any time and will be held open until a maximum of three weeks before the seminar begins. If no binding booking is received by MicroConsult Academy by then, the seminar places are reserved for other participants.

Binding orders can be placed online or in writing by post (MicroConsult Academy GmbH, Charles-de-Gaulle-Str. 6, 81737 Munich), email to kontakt@microconsult.de or fax (+49 (0)89 450617-17).

Every order confirmed in writing by MicroConsult Academy is binding for both parties.

Prices and dates for open seminars

The terms and conditions for booking open seminars are listed on the MicroConsult Academy website. www.microconsult.de or. www.microconsult.com We publish dates and prices (plus applicable VAT).

The seminar prices include the event materials, the necessary use of the technical facilities and systems in the rooms of the MicroConsult Academy for the duration of the seminar, as well as the cost of lunch.

Seminar location and seminar times

The seminar location and times will be specified in the order confirmation. The order confirmation serves as a guarantee that the seminar will take place.

Cancellation, rebooking, no-show

Cancellation or rebooking is free of charge up to three weeks before the start of the seminar. For cancellations or rebookings made later, the seminar fee is payable less a flat fee of 5% for saved expenses.

Instead of cancelling or rebooking, the customer has the right to send a substitute participant to the seminar he has booked at no extra cost.

If the registered participant fails to attend the seminar without cancellation, rebooking or providing a substitute participant, the full invoice amount is payable.

MicroConsult Academy reserves the right to cancel a seminar if fewer than six participants have registered three weeks prior to the seminar start date. Furthermore, MicroConsult Academy is not liable for the client's/customer's travel and accommodation expenses, nor for any other indirect or consequential damages.

Payment terms

Invoices are issued upon order confirmation. Fees for open seminars must be paid in full before the seminar begins. Participants whose invoices have not been paid by the start of the seminar may pay the outstanding amount in cash on the first day of the seminar. Otherwise, participation in the seminar is not permitted.

Invoices, including German VAT, must be paid in full, quoting the invoice and customer numbers. Payments must be made in euros to the MicroConsult Academy account specified on the invoice.

Any bank charges are to be borne by the client.

Offsetting is only permissible with undisputed or legally established counterclaims.

Copyright

MicroConsult Academy reserves all rights to the provided documents, software, and training modules. Documents, software, and training modules may not be reproduced, modified, translated, processed, copied, distributed, or used for public dissemination, even in part or for teaching purposes, without written consent.

The seminars use software that is protected by copyright. This software and its documentation may not be removed from the seminar rooms, nor copied, transferred, or used in any other way without written authorization, either in whole or in part.

Data storage devices brought by participants may not be used on MicroConsult Academy computers. MicroConsult Academy reserves the right to claim damages in case of violation.

Export of imparted knowledge

All technical data contained in MicroConsult Academy products, or products that make such data usable, may not be exported or reimported, either directly or indirectly, without the prior authorization of the countries concerned. Furthermore, the General Terms and Conditions of Delivery for Products and Services of the Electrical Industry, as well as any other terms and conditions agreed upon in writing, apply to export transactions.

By participating in a seminar, the customer/purchaser/participant confirms compliance with these provisions.

Liability

The services of MicroConsult Academy are prepared and delivered by its employees and agents with expertise and the utmost care. MicroConsult Academy's liability for all claims, regardless of the legal basis, is limited to the amount of the seminar fee paid, but not exceeding €25,000.

The limitations and exclusions of liability do not apply to damages resulting from intentional or grossly negligent acts on the part of MicroConsult Academy or one of its employees or agents. This limitation of liability also does not apply to claims for injury to life, body, or health if MicroConsult Academy is responsible for the breach of duty.

MicroConsult Academy accepts no liability for the loss of or damage to the property of the customer/client/participant caused by third parties.

In the event of a seminar cancellation due to force majeure, illness of the lecturer or consultant, or other unforeseen circumstances, there is no entitlement to a seminar being held. MicroConsult Academy cannot be held liable in such cases for travel and accommodation expenses or for any other indirect or consequential damages.

Business partners

If a business partner arranges open seminars of the MicroConsult Academy, these terms and conditions apply exclusively to the relationship between the client/customer and MicroConsult Academy.

MicroConsult Academy is neither responsible for the business activities of the business partner nor for promises made to the client by the latter, nor for the products and services offered by the business partner under their own contracts.

MicroConsult Academy reserves the right to subcontract services to third parties. MicroConsult Academy is liable for the performance of subcontractors as if it were its own actions.

Force majeure

Events of force majeure that significantly impede or prevent MicroConsult Academy from fulfilling its obligations entitle it to postpone the fulfillment of its obligations for the duration of the impediment and for a reasonable start-up period.

Miscellaneous

These terms and conditions remain binding in their remaining parts even if individual provisions are legally invalid. In place of the invalid provision, a valid provision shall be deemed agreed upon which most closely corresponds to the meaning and purpose of the invalid provision.

Changes and additions to these terms and conditions must be in writing.

Jurisdiction

The place of jurisdiction for all disputes is the registered office of MicroConsult Academy.

The law of the Federal Republic of Germany applies.
